Centris Corporation inc. (“Centris”) welcomes you to its Centris.ca Website (the “Website”). Please read all of the following terms and conditions carefully before proceeding as your access to and use of the Website is subject to and conditional upon your acceptance of these Terms.

These Terms constitute a contract between you and Centris and govern your access to and use of the Website and all content, information, products and services available therein. Some of the Content posted on the Website, such as articles and other documents, express the views of their respective authors, which may not be the views of Centris, its shareholders, group members, directors, officers, employees, representatives or partners.

Centris hereby grants you a personal, limited, revocable, non-transferable and non-exclusive licence to access and read the Content located in the publicly accessible portions of the Website for personal, non-commercial and not-for-profit use only, and in accordance with the objectives of the Website. The Website is made available to you only for personal use and in accordance with applicable laws and regulations. You may print the Website pages or send listings published on the Website by email for your personal and non-commercial use only, provided that you do not modify any of the pages and you do not remove or alter any visible or non-visible identification, marks, notices, or disclaimers. Prohibited Uses

Amendments to the Terms
Centris may amend these Terms from time to time by updating them on its Website. Any amendments will take effect on the date indicated or, in the absence of such mention, on the date they are published by Centris. All Website users are bound by these Terms and the various policies posted on the Website and should therefore consult them periodically to review any amendments prior to using the Website. However, if any amendments to these Terms affect your rights, Centris will provide you with a notice to this effect by email or through its services, the Website or any other means of communication. In such case, if you do not consent to the proposed amendments, then you must immediately stop using the Website and the Content. No Linking, Framing, Mirroring, Scraping or Data Mining
Individuals or organizations operating websites that publish content that is violent, pornographic or likely to undermine human dignity in general are strictly prohibited from posting links or hyperlinks to the Website on their websites. Individuals or organizations engaged in real estate activities that compete, directly or indirectly, with Centris are also strictly prohibited from posting links or hyperlinks to the Website on their websites. For all other individuals or organizations not covered by this paragraph, Centris reserves the right, at its sole discretion, to prohibit and remove any links or hyperlinks posted on the Website at any time without further notice or delay, and without liability to Centris.
Framing, mirroring, scraping (including, without limiting the foregoing, “screen scraping,” “data scraping” and any other activity, whether automated or not, intended, directly or indirectly, to collect, store, copy, reproduce, reorganize or manipulate the Content) or data mining from the Website or any part of its Content in any form or by any method whatsoever is strictly prohibited.
Communications via the Website
This Website may provide features that allow you to post messages and content, to interact with other users through a forum, messaging system, chat windows, and news groups, and to upload and download files, documents or other materials. When using any of the features of the Website that allow you to publish or upload messages, submissions, or other posts (collectively, “posts”), it is a condition of your use of this Website that you agree not to:

- delete or modify without authorization any material posted by any other person or entity;
- publish or submit any communication or post that solicits the Access IDs or personal identifying information of other users for commercial or unlawful purposes;
- publish or transmit any publication that contains a virus or other similar or harmful component, or that transmits or creates computer viruses;
- publish or transmit junk mail, chain letters, unsolicited mass mailing, or spam; or
- use these features for commercial purposes, including, but not limited to, posting, uploading or transmitting any posts that contain advertising or that engage in commercial activities and/or sales, or that involve contests, sweepstakes, trades, and/or advertising.
In the event of a breach of items 1 to 7 above, Centris reserves the right to take any measure or action against you that it deems necessary to put an end to the violation and remedy the damage suffered, including discontinuing your access to the Website in accordance with the section entitled “Denial of Access to the Website and Termination of These Terms” below.
You acknowledge that any information, suggestions, or content that you publish, communicate, send or share with Centris, including through the Website, may be implemented or published by Centris in any way, including without limitation in future improvements and modifications to the Website or other current or future Centris products or services. As such, you grant Centris a royalty-free, perpetual, non-exclusive, irrevocable, unrestricted, worldwide, transferable, assignable (with the right to grant sub-licences) licence to, without limitation, use, transform, reproduce, modify, improve, compile, distribute, publish, share, sell and market such content. If the content includes personal information, such content shall only be used in accordance with the Privacy Policy (Centris.ca) of the Website (the “Privacy Policy”), which you can read here. In addition to granting the above licence, you hereby:
i) agree to irrevocably waive all moral rights in all posts;
ii) irrevocably consent to your name, address and email appearing as the contributor to any post, where applicable, and to the disclosure and/or display of such information and any other information which appears in or is associated with a post;
iii) acknowledge and agree that Centris, its shareholders, affiliates, directors, officers, employees, representatives, and partners shall not be responsible for any loss, damage, or corruption that may occur to your posts; and
iv) acknowledge and agree that any posts you provide for display on the Website shall be considered non-confidential.
Centris may, at its discretion, review posts prior to their being published and may refuse to publish them on the Website. Centris reserves the right, at its sole discretion, to edit or remove any post. You acknowledge and agree that Centris may, at its sole discretion, monitor this Website periodically and disclose any information as necessary to satisfy any law, regulation, or other government or Court request, to operate this Website properly, or to protect itself or other users of the Website. Any such disclosure shall be in accordance with Centris’ Privacy Policy.
Centris is not responsible for the content of any post. Posts represent the views and opinions of the person(s) producing the post and do not represent the views or opinions of Centris, its shareholders, group members, directors, officers, employees, representatives, and partners.
Trademark Information
CENTRIS.CA™, Centris and other marks and logos appearing on the Website from time to time are registered and unregistered trademarks, or trade names owned by Centris, its partners, or third parties. Other product and company names and logos appearing on the Website may be registered or unregistered trade names or trademarks of their respective owners. Any use of the trade names, trademarks, and logos (collectively “Marks”) displayed on the Website is strictly prohibited. Nothing appearing on the Website or elsewhere shall be construed as granting, directly or indirectly, by implication, estoppel, or otherwise, any licence or right to use any Marks displayed on the Website.

You undertake to assist and cooperate as fully as reasonably required by the Indemnified Parties in the defence of such claim or demand.
Denial of Access to the Website and Termination of These Terms

Governing Laws
This Website is controlled, operated and administered by Centris from its offices located in Montreal, Quebec, Canada. These Terms will be governed by the laws of the province of Quebec and the applicable federal laws of Canada and shall be treated in all respects as a contract entered into under the laws of Quebec, without reference to the principle of conflicts of law. The courts sitting in the judicial district of Montreal, province of Quebec, shall have exclusive jurisdiction to hear and resolve any dispute relating, directly or indirectly, to the Website and/or to the application, enforcement or interpretation of these Terms. You undertake not to export any of the Content accessible through the Website in violation of applicable export laws and regulations.
Error or Omission
Centris reserves the right, at its sole discretion, to correct any errors or omissions in any portion of the Website at any time without notice, but confirms that it has no obligation to do so.
No Waiver
No failure or delay on the part of Centris to ensure compliance with any of these Terms shall be construed, regardless of the importance or frequency of such tolerance, as an abandonment or waiver of its right to subsequently enforce, at any time, each of the terms and conditions of these Terms or as a waiver of any right or privilege it may have under these Terms.

In the event of any inconsistency between the English and the French versions of the Terms, the French version shall prevail.
